Terms and Conditions “Seeds of Tomorrow”

1. Acceptance

These Terms and Conditions govern your participation in the Seeds of Tomorrow Program (“Program”). The Program consists of collecting points (referred to as “seeds”) while hiring a device from HMD Global Oy UK Branch in the United Kingdom for a certain period of time and redeeming said seeds for good causes. Hiring a device from HMD Global may be referred to as “subscription”, and is subject to the applicable hire agreement.

Once these Terms and Conditions are duly accepted by you and HMD Global Oy accepts to hire one or more devices to you, it is deemed that a contract between you and HMD Global Oy UK Branch, with address at 2 Kingdom Street, Level 2, London, Paddington Central, W2 6BD (“HMD Global”, “we” or “us”), has been concluded for you to participate in the Program. The Privacy Policy governs the use of your personal data as part of the Program.

Information about collected and redeemed seeds is available on the account you have created at https://www.nokia.com/phones/en_gb to subscribe to the devices (“Account”).

2. Eligibility

To participate in the Program, you must be at least eighteen (18) years of age, live in the United Kingdom and hire at least one device from HMD Global.

3. Collecting seeds

You collect seeds by hiring devices from HMD Global and keeping them (i.e. not cancelling the subscription, changing the device model or causing the device to be locked for lack of payment) for certain periods of time:

HMD Global reserves the right to grant extraordinary seeds under specific circumstances (for example, to customers who subscribe to a certain device model or fulfil another condition). The rules applicable to said extraordinary grant of seeds will be detailed at https://www.nokia.com/phones/en_gb/seeds-of-tomorrow.

In case you subscribe to more than one device from HMD Global, you will be able to collect the seeds described above for each device you hire.

Collected seeds will be visible on your Account and can be redeemed as described on Section 5 below.

4. Losing seeds

You lose all the seeds you collected in relation to a certain device whenever:

(i) you cancel the subscription;

(ii) you request a subscription plan change;

(iii) you do not pay your subscription, causing the device to be locked as described in the hire agreement;

(iv) you terminate your participation in the Program, as described on Section 7; or

(v) HMD Global terminates the Program or your participation in the Program, as described on Section 7.

To avoid losing seeds, we advise you to redeem the seeds before cancelling the subscription or requesting a subscription plan change.

In case you hire more than one device from HMD Global and only cancel the subscription or request a subscription plan change in relation to one of them, you will not lose the seeds you collected in relation to the other device(s).

5. Redeeming seeds

To redeem seeds you have to access your Account to select a good cause. HMD Global will deduct the seeds from your seeds balance and make a donation to the good cause.

Seeds cannot be converted to cash, used to pay for your subscription or transferred to another account.

If you accumulate seeds for two (2) years without redeeming them, HMD Global will contact you to suggest that you redeem the seeds within a certain period of time, after which HMD Global will use the seeds in your Account for a good cause chosen by HMD Global.

6. Modification of these Terms and Conditions

HMD Global is entitled to make amendments to these Terms and Conditions at any time, e.g. to update information such as contact information or make the text clearer. You will be notified by e-mail of the amendments concerning updates and clarifications at least two (2) weeks before they take effect.

Amendments concerning material conditions need to be communicated by e-mail to you at least six (6) weeks in advance and will be deemed accepted if you do not declare your objection within those six (6) weeks. We consider an objection to be a termination of your participation in the Program in accordance with Section 7.

7. Termination

In case you no longer want to participate in the Program, you can contact our support team to communicate your decision to terminate your participation. We advise you to redeem the seeds on your account before doing that, otherwise the seeds will be lost.

HMD Global has the right to terminate the whole Program with one month's notice. In that case, you will have one (1) month to redeem the seeds on your account.

HMD Global also has the right to terminate your participation without notice for good cause. A good cause exists, for example, if you violate these Terms and Conditions, the Subscription Terms and Conditions, the Privacy Policy or the Credit Score Check Supplement, or use a hired device in an improper, unlawful and/or illegal way (or as part of an improper, unlawful and/or illegal activity), or pass it on to a third party without our previous authorization. Irrespective of the reason, notice of termination must be given to you in writing. In case HMD Global terminates your participation in the Program as described above, you will lose all seeds in your account with immediate effect.

8. Choice of Law and dispute resolution

These Terms and Conditions are governed by English laws.

If you live in England and Wales, these Terms and Conditions shall be subject to the exclusive jurisdiction of the English & Welsh courts.

If you live in Scotland, you or HMD Global can bring legal proceedings in either the Scottish or the English and Welsh courts.

If you live in Northern Ireland, you or HMD Global can bring legal proceedings in either the Northern Irish or the English and Welsh courts.

9. Assignment

HMD Global may assign its rights and obligations to any third party, provided that your rights under the agreement are not adversely affected by any such transfer.
