__Big Summer Escapade Terms and Conditions March 31, 2022

Following terms and conditions (the “Terms and Conditions”) shall apply to the “Big Summer Escapade” (the ‘’Raffle”) detailed below. For the purposes of these Terms and Conditions, the term Organizer, when used with reference to a legal entity, shall mean HMD Global Oy (“Organizer”).

1. Eligibility

Raffle is open only to those who register their raffle entry and who are 18 years old and above as of the date of entry (“Participant”). The Raffle is only open to legal residents of Philippines and is void where prohibited by law. Employees of Organizer, their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers, and their immediate family members and/or those living in the same household of each are not eligible to participate in the Raffle. The Raffle is subject to all applicable federal, state and local laws and regulations.

2. Raffle Rules

By participating, the Participant agree to be fully unconditionally bound by these Rules, and the Participant represent and warrant that he/she meets the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Organizer, as final and binding as it relates to the content.

3. Raffle Period

Entries will be accepted online starting on or about March 31, 2022 and ending May 31, 2022. All online entries must be received by May 31, 2022 at 11:59PM Philippine Standard Time.

4. How to Participate

The Raffle must be entered by submitting an entry using the online form provided on this Raffle site https://www.nokia.com/phones/en_ph/big-summer-promo. a. Participant who has purchased Selected Smartphone and/or Tablet shall be entitled to two (2) raffle entries.

b. Participant who has purchased Select Feature phone shall be entitled to one (1) raffle entry.

c. Selected Smartphones, Tablet, Feature Phones and Accessories of the promotion are the following models:

d. If Participant is submitting the entry in a physical store: Participant must completely fill-out the online registration form with the following details (complete name, complete address, contact number, email, IMEI (or PSN number for Tablet), store name, seller name) by either scanning the QR code or directly going through the website link https://www.nokia.com/phones/en_ph/big-summer-promo. e. If Participant is submitting the entry within a valid online channel purchase: Marketplace on Shopee, Lazada, Zalora, Lazada MX, or https://mxmemoxpress.com/ will trigger EDMs (Electronic messages) or email sending the link of registration page for Participant to fill out details upon completion of orders. The entry must fulfill all Raffle requirements, as specified, to be eligible to win a prize. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Organizer. Participant may enter only once and must fill in the information requested. Participant may not enter more times than indicated by using multiple email addresses, identities or devices in an attempt to circumvent the rules. If Participant uses fraudulent methods or otherwise attempt to circumvent the rules, Participant’s submission may be removed from eligibility at the sole discretion of Organizer.

5. Prizes

Winners will receive a new motorcycle, Nokia smartphones or tablet, or trip to Boracay or Palawan. The specifics of the prize shall be solely determined by the Organizer. No cash or other prize substitution permitted except at Organizer's discretion. The prize is transferable. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the Organizer. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of prize constitutes permission for Organizer to use winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law. The odds of winning depend on the number of eligible entries received.

Winner can claim the prize in accordance with the following:

a. Winners of Nokia smartphone or tablet will receive the Prize to their address by HMD or its partner distributors. b. Winner of motorcycle shall claim the motorcycle at the nearest store of their residence address. (an HMD representative will be present during claiming of prize). c. Winners of trip to Boracay and Palawan will receive the accommodation, flight, or travel details to their email address once details are confirmed. d. Winners must present a valid ID and copy of purchase receipt (in case of online transactions, screenshot of marketplace or partner.com purchase: Nokia official store on Shopee, Lazada, Zalora, Lazada MX, or https://mxmemoxpress.com/ must be presented) e. If Winner is claiming the Price via an authorized representative, he/she must present a valid ID, and a signed authorization letter from the Winner. f. Prize validity: Travel prize is valid for 1 year.

6. Winner selection and notification

Winners of the Raffle will be selected on June 8, 2022 via virtual conference, using a random online drawing under the supervision of the Organizer and in the presence of a Department of Trade and Industry in Philippines (“DTI”) representative. Winners will be notified via registered mail and SMS within five (5) days following the winner selection. A participant can only win once. If the name is drawn more than once, the winner must get the prize with a higher value. Organizer will announce the winners on Nokia mobile PH official Facebook page on June 10, 2022.

Organizer shall have no liability for a winner's failure to receive notices due to winners' spam, junk e-mail or other security settings or for winners' provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 60 days from the time award notification was sent, or fails to timely return a completed and executed declaration and releases as required, prize may be forfeited in favor of Organizer with prior approval of DTI. An alternate winner will be selected. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT ORGANIZER'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE RAFFLE AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

7. Rights Granted by Participant

By entering this Raffle, you understand that Organizer may without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Raffle, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

8. Changes

Organizer reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Raffle should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Raffle.

9. Limitation of Liability

By entering you agree to release and hold harmless Organizer and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Raffle and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error which may occur in the administration of the Promotion or the processing of entries.

10. Privacy Policy

Any personal data relating to this Raffle shall be processed in accordance with HMD Privacy Policy.

11. Disputes

This Raffle is governed by the laws of Finland. You irrevocably agree that Finnish courts shall have the exclusive jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Raffle), and participant further waives all rights to have damages multiplied or increased.
